Machado, Meyer, Sendacz e Opice Advogados and Simpson Thacher & Bartlett LLP have acted for Brasil Foods as the company raised 5.29 billion reais (US$2.79 billion) in a secondary share offering yesterday.
Pinheiro Guimarães - Advogados in Brazil and Davis Polk & Wardwell in New York represented the underwriting banks in the issuance by the food manufacturer, formerly called Perdigão.
UBS Securities, JP Morgan Securities, and Santander Investment were joint bookrunners for the offering, which was split between the New York and Brazilan stock exchanges, and Raymond James & Associates was selling agent. Banco UBS Pactual led a syndicate of banks underwriting the offering.
Brasil Foods issued 102 million shares on the Brazilian stock exchange, Bovespa, and 12.3 million on the New York stock market.
The issuance is the second largest equity offering on Brazil’s capital markets this year, following Visanet’s US$4.3 million IPO last month.
Brasil Foods was formed out of a merger between two of the country’s largest food companies, Perdigão and Sadia, in May.
The Brazilian antitrust tribunal CADE has yet to rule on the merger, but gave its consent to Perdigão continuing with the offering and beginning a financial restructuring of Sadia while its decision is pending.
